<p style="padding-left: 30px;">يتناول موضوع البحث الجوانب القانونية لتقديم الحصة العينية في الشركات التجارية، من حيث مفهومها، والتمييز بينها وبين الحصص الأخرى في الشركة، وشروطها، ومقابل تقديمها في الشركات التجارية.</p>
<p style="padding-left: 30px;">حيث تعد مساهمة الشركاء في رأس مال الشركة من الأركان الموضوعية الخاصة، وبالنسبة للحصص النقدية فلا نواجه أي إشكال فيها، بينما تخضع الحصص العينية إلى التقييم سواء تمثلت في صورة عقار</p>
<p style="padding-left: 30px;">أو منقول وذلك لتحديد قيمتها في رأس مال الشركة، والذي يعد من أهم الضمانات بالنسبة إلى المتعاملين مع الشركة التجارية، وبناء على هذه القيمة يتحدد نصيبهم من الأرباح وتحملهم للخسائر، وقد أدرك المشرع أهمية الحصة العينية فنظمها بأحكام مفصلة في شركات الأموال تماما كالحصة النقدية أما بالنسبة إلى شركات الأشخاص فقد ترك للشركاء أمر تقييمها وتحديد قيمتها.</p>
<p style="padding-left: 30px;">فجاءت هذه الدراسة موضحة لأهمية الحصص العينية في الشركات التجارية ومخاطر المبالغة في تقييمها مع بيان مسؤولية الشريك مقدم الحصة العينية.</p>
<p style="padding-left: 30px;">وقد توصل البحث إلى عدة نتائج؛ أهمها أن القوانين محل المقارنة لم تنص على شروط تقديم الحصة العينية بشكل محدد، وأن الشركة قد تقبل في بعض الأحيان حصص حينية لا تلائم طبيعة نشاط الشركة</p>
<p style="padding-left: 30px;">لإتمام رأسمالها فتتحمل مستقبلا تبعات تقلب أسعارها.</p>

<p><strong>ABSTRACT</strong></p>
<p>The research discusses the legal aspects of providing in-kind contributions in commercial companies, including their concept, distinguishing them from other types of shares in the company, their conditions, and the consideration for their provision in commercial companies.</p>
<p>The contribution of partners to the company's capital is one of its essential objective components. Cash contributions pose no issues, whereas in-kind contributions are subject to evaluation, whether in the form of real estate or movable property, to determine their value in the company's capital. This evaluation is crucial for stakeholders’ confidence in the commercial entity. Based on this value, their share of profits and their liability for losses are determined.</p>
<p>Legislators have recognized the significance of in-kind contributions, regulating them extensively in financial companies, similar to cash contributions. However, in personal companies, partners are often left to assess and determine their value.</p>
<p>This study highlights the importance of in-kind contributions in commercial companies and the risks associated with overvaluation, along with elucidating the responsibility of the partner providing the in-kind contribution.</p>
<p>The research concludes several points, notably that comparative laws do not specify conditions for providing in-kind contributions, and companies may sometimes accept in-kind contributions that do not align with the nature of their activities, potentially bearing the consequences of fluctuating prices in the future.</p>
